Responsibilities of Officers

Chairperson

  • symbol of the board
  • spokesperson for the board
  • presides over board meetings
  • serves and leads directors
  • acts as major contact for inside leaders
  • motivates and holds other directors accountable
  • principle supervisory contact for executive.

Vice Chair

  • takes over chair functions in the event of absence, incapacity or death
  • may be assigned other specific functions by chair.

Secretary

  • cares for and keeps corporate records, seal, minutes
  • takes or is responsible for the taking of minutes at meetings of the board.

Treasurer

  • custodian, dispersing and accounting agent for corporate funds
  • disburses only as authorized by directors or other constitutional authority
  • oversees personnel who perform accounting functions
  • analyzes ongoing fiscal reports
  • monitors IRS and state compliances
  • links the board to the financial records
  • reports to the board on compliances.
